By participating in The GNC LIVE WELL GIVEAWAY (the “Promotion”) you unconditionally accept and agree to comply with and abide by these Official Rules (“Official Rules”) and the decisions of GNC Holdings LLC (the “Sponsor”) and US Sweepstakes & Fulfillment Co. (the “Administrator”), which shall be final and binding in all respects.

PROMOTION ENTRY PERIOD: The Promotion begins at 12:00:01 AM Eastern Time (“ET”) on Thursday, March 16, 2023 and ends at 11:59:59 PM ET on Thursday, April 6, 2023 (the “Promotion Period”).
ELIGIBILITY: The Promotion is open to myGNC Rewards members and myGNC PRO Access members who are a) legal residents of the 50 United States, including the District of Columbia (D.C.) and Puerto Rico (collectively for this Promotion, the “Territory”); and b) age 18 or older and the age of majority in their state/territory of residence (19 and older in Alabama and Nebraska; 21 and older in Mississippi and Puerto Rico) at the time of entry. It is free to become a myGNC Rewards member. You can sign up for myGNC Rewards by visiting https://www.gnc.com/mygnc-rewards/. Void in Guam, the U.S. Virgin Islands, outside the Territory wherever else prohibited by law. Employees of Sponsor, Administrator and their respective subsidiaries, affiliates, advertising and promotion agencies, and the immediate family members (spouses, parents, children, and siblings and their spouses) of, and/or those living in the same household of each, are not eligible to enter. Promotion is subject to all applicable federal, state and local laws and regulations.
HOW TO ENTER: You must have the GNC LIVE WELL Mobile App downloaded to your mobile device and be logged in with your myGNC Rewards or myGNC PRO Access membership account to participate. The Promotion has two components: An Instant Win Game (the “Instant Win Game”), and a Random Draw Grand Prize Sweepstakes (the “Grand Prize Sweepstakes”). To enter both the Instant Win Game and the Grand Prize Sweepstakes: • Open the GNC LIVE WELL app on your mobile device and login with your myGNC Rewards or myGNC PRO Access membership account; • Navigate to and tap/click the area advertising the Promotion to visit the Promotion Site (the “Promotion Site”); • Upon visiting the Promotion Site, follow the prompts to play the GNC Instant Win Spin Game. By clicking/tapping the button to play the GNC Instant Win Spin Game, you will receive one (1) entry into the Grand Prize Sweepstakes (the “Sweepstakes Entry”) and one (1) Instant Win Game play (the “Game Entry”). Each day thereafter, for the remainder of the Promotion Period, you will be able to return to the Promotion Site to play the GNC Instant Win Spin Game and receive one (1) additional Sweepstakes Entry and one (1) Game Entry. Limit: One (1) Sweepstakes Entry and one (1) Game Entry per person per day. For the purposes of this Promotion, a “day” is defined as the twenty-four (24) hour time period commencing at 12:00:00 AM ET and ending at 11:59:59 PM ET. Although the Sponsor and/or Administrator may receive a participant’s subsequent attempts to enter on a given day, only the first complete Sweepstakes Entry and/or Game Entry received from a particular participant on that day will be eligible; subsequent attempts by the same person to enter/play during that same day will be disqualified.
Sweepstakes Entry and Game Entry collectively referred to herein as “Entry” or “Entries”. Incomplete or inaccurate entries shall be deemed void. MESSAGE AND DATA RATES MAY APPLY TO USE OF MOBILE PHONE/DEVICE TO PARTICIPATE IN PROMOTION. Entrant's wireless service provider may charge entrant for data usage, and entrant shall be responsible for any and all costs associated with Entry. All Entries must be received between 12:00:01 AM ET on Thursday, March 16, 2023 and 11:59:59 PM ET on Thursday, April 6, 2023. All Entries become the property of the Sponsor and will not be acknowledged or returned. The Promotion Site’s database clock will be the official timekeeper for the Promotion. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any Entry, the authorized account holder of the myGNC Rewards or myGNC PRO Access account used to participate will be deemed to be the Entrant. Each potential winner may be required to show proof of being the authorized account holder.
PRIZES/APPROXIMATE RETAIL VALUE (“ARV”)/ODDS: The total ARV of all prizes available to be won in connection with this Promotion: $112,000.
Grand Prize: There is one (1) Grand Prize available to be won. One (1) Grand Prize winner will receive $100,000, to be awarded in the form of a check. The ARV of the Grand Prize: $100,000. The odds of winning the Grand Prize will depend upon the total number of eligible Sweepstakes Entries received during the Promotion Period.
Instant Win Prizes: There are 250 Instant Win Prizes (“Instant Win Prizes”) available to be won as depicted in the Instant Win Prize Chart below. Total ARV of all Instant Win Prizes available to be won: $12,000. Limit: One (1) Instant Win Prize per person. Odds of winning an Instant Win Prize are dependent on the random winning time selected for each Instant Win Prize available to be won, the number of participants in the Promotion, and the time and order any Entrant’s Game Entry is submitted and recorded. The number of Instant Win Prizes available will diminish as they are awarded.
GNC Gift Cards and Cash Back Rewards are not redeemable for cash and will not be replaced if lost or stolen. Gift card and Cash Back Reward usage is subject to the issuing company’s complete terms and conditions, including expiration dates.
*$20 GNC Cash Back Reward will be awarded as 600 reward points that will be deposited into winner’s myGNC Rewards or myGNC PRO Access account.
INSTANT WIN PRIZE WINNER SELECTION & NOTIFICATION: Instant Win Prizes will be awarded throughout the Promotion Period, pursuant to the process set forth herein. 150 random, computer-generated winning dates and times, one for each Instant Win Prize available to be won, will be generated by the Administrator prior to launch. At the time an Entrant submits a Game Entry, if such Entrant is the first eligible Entrant to submit a Game Entry at or after a computer-generated, randomly selected winning time, that Entrant will receive an on-screen notification alerting them that they are a potential winner of an Instant Win Prize. Non-winning entrants will also be notified on screen.
Potential Instant Win Prize winners must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements in these Official Rules. All winning claims are subject to verification by the Administrator and/or Sponsor, whose decisions are binding. Even if the Instant Win Game shows that you are a winner, you are not a winner until your eligibility and the potential winning Game Entry have been verified. In the event that a potential Instant Win Prize winner is disqualified for any reason or if there are Instant Win Prizes remaining to be awarded after the Promotion Period has ended, Sponsor will award the applicable prize to an alternate Instant Win Prize winner selected by a random drawing from among all remaining eligible entries. Only one (1) alternate drawing will be held, after which any remaining Instant Win Prizes will remain un-awarded.
$50 GNC Gift Card prizes will be awarded to verified winners, via the email associated with winner’s myGNC Rewards or myGNC PRO Access account, within 14 days after winner’s eligibility is confirmed.
$20 Cash Back Reward prizes will be automatically applied to verified winner’s myGNC Rewards or myGNC PRO Access account within 14 days after winner’s eligibility is confirmed.
GRAND PRIZE RANDOM DRAWING & NOTIFICATION: On or about Tuesday, April 11, 2023, the Administrator will select one (1) potential Grand Prize winner in a random drawing from among all eligible Grand Prize Sweepstakes entries received during the Promotion Period. The Grand Prize winner will be notified by the Administrator via email and/or phone on or about Tuesday, April 11, 2023 and will be required to sign and return, within five (5) days of email notification, an Affidavit of Eligibility & Liability Waiver, an IRS W-9 Form and where allowable, a Publicity Release (collectively, "the Releases"). These Releases will require the Grand Prize winner to furnish his/her Social Security Number for the sole purpose of tax reporting, as required by law. Noncompliance will result in disqualification and an alternate winner may be selected. The Grand Prize will be awarded within 45 days after the winner is verified.
PRIZE CONDITIONS: If a prize notification or prize is returned as undeliverable, or if winner is found to be ineligible or not in compliance with these Official Rules that winner will be disqualified, and the prize may be awarded to an alternate winner in a separate random drawing. If Sponsor fails to receive a sufficient number of entries to correspond to the number of prizes available to be awarded, Sponsor reserves the right to not award such prize(s).
Instant Win Prizes are not redeemable for cash. All prizes are not assignable, transferable and may not be substituted except at Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize of equal or greater value at its discretion. Any other incidental expenses on prize not specified herein are the winner’s sole responsibility.
Winners are responsible for all federal, state, local and income taxes associated with winning prize. Grand Prize winner will be required to furnish his/her Social Security Number for the sole purpose of preparation of tax forms as required by law.
Except where prohibited by law, entry and acceptance of prize constitute permission to use winner's name, prize won, hometown, likeness, video tape, photographs, and statements for purposes of advertising, promotion and publicity (including online posting) in any and all media now or hereafter known throughout the world in perpetuity, without additional compensation, notification or permission.
GENERAL: Participating entrants agree to these Official Rules and the decisions of the Sponsor and the Administrator, and release the Sponsor, the Administrator, and their affiliated companies, and all other businesses involved in this Promotion, as well as the employees, officers, directors and agents of each (the “Released Parties”), from all claims and liability relating to their participation in the Promotion, and the acceptance and use/misuse of the prizes offered. Participating entrants assume all liability for and Released Parties shall be held harmless against any liability for any injury, losses or damages of any kind to persons, including personal injury or death, or injury to property caused or claimed to be caused in whole or in part, directly or indirectly, by participation in this Promotion, acceptance, possession, or use/misuse of the prize, or any claims based on publicity rights, defamation or invasion of privacy, or merchandise delivery. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Promotion or in the announcement of the prize.
Entry materials/data that have been tampered with or altered, or mass entries or entries generated by a script, macro or use of automated devices are void. The Released Parties are not responsible for: (i) lost, late, misdirected, damaged or illegible entries; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (iii) any injury or damage to entrant's or any other person's computer or mobile device related to or resulting from participating in the Promotion. By participating in the Promotion, you (i) agree to be bound by these Official Rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of Sponsor and the Administrator, which are final and binding in all matters relating to the Promotion. Failure to comply with these Official Rules may result in disqualification from the Promotion.
Sponsor reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, if any fraud, technical failures or any factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Promotion, as determined by Sponsor. If, for any reason, the Promotion cannot be run as planned, Sponsor may disqualify any suspect entries or individuals from the Promotion and any promotion it sponsors and (a) suspend the Promotion and modify the Promotion to address the impairment, then resume the Promotion in a manner that best conforms to the spirit of these Official Rules; and/or (b) award the prizes at random from among the eligible, non-suspect entries received up to the time of the impairment.
THE RELEASED PARTIES ARE NOT RESPONSIBLE IF THIS PROMOTION CANNOT BE ADMINISTERED OR CONDUCTED OR ANY PRIZE CANNOT BE AWARDED DUE TO CANCELLATIONS, DELAYS, OR INTERRUPTIONS RESULTING OR ARISING FROM ACTS OF GOD, WAR, OR TERRORISM, CIVIL UNREST, STRIKES, SUPPLY SHORTAGES, NATURAL DISASTERS, WEATHER, EPIDEMICS, COMPLIANCE WITH ANY LAW OR ORDER OF A GOVERNMENTAL AUTHORITY, OR ANY OTHER SIMILAR ACT, EVENT, OR OCCURRENCE BEYOND THE REASONABLE CONTROL OF THE SPONSOR. BY PARTICIPATING IN THIS PROMOTION, PARTICIPANT AGREES THAT THE RELEASED PARTIES WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY INJURIES, DAMAGES, OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES TO PERSONS, INCLUDING DEATH, OR TO PROPERTY ARISING OUT OF ACCESS TO AND USE OF ANY WEBSITE ASSOCIATED WITH THIS PROMOTION OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SUCH SITE, AS APPLICABLE. FURTHER, SPONSOR SHALL NOT BE RESPONSIBLE FOR ANY CANCELLATIONS, DELAYS, DIVERSIONS, CHANGES IN SERVICE OR ACCOMMODATIONS OR SUBSTITUTIONS, OR FOR ANY ACTS OR OMISSIONS BY ANY THIRD PARTIES BEYOND ITS REASONABLE CONTROL, INCLUDING AIR CARRIER(S) AND OTHER TRANSPORTATION COMPANIES; LODGING, RESTAURANT OR OTHER HOSPITALITY PROVIDERS; ENTERTAINMENT PROVIDERS, VENUES OR ARTISTS; OR OTHER THIRD PARTY PROVIDERS SUPPLYING ANY SERVICES OR COMPONENTS OF THE PRIZE(S) TO WINNERS AND/OR THEIR GUESTS, OR FOR ANY RESULTING INJURIES, INCLUDING MONEY DAMAGES, COSTS AND EXPENSES, PROPERTY DAMAGES, PERSONAL INJURIES OR DEATH RESULTING THEREFROM.

GOVERNING LAW AND LIMITATION OF LIABILITY: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of entrants, Sponsor or the Released Parties in connection with the Promotion will be governed by and construed in accordance with the internal laws of the State of Pennsylvania, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws.
BY ENTERING THE PROMOTION, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE PROMOTION, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (C) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (D) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. DISPUTES: The parties hereto each agree to finally settle all disputes only through arbitration; provided, however, the Released Parties shall be entitled to seek injunctive or equitable relief in the state and federal courts in Allegheny County, Pennsylvania and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Promotion shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in Allegheny County, Pennsylvania. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in Allegheny County, Pennsylvania. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court.
PRIVACY: As a condition of entering the Promotion, each entrant gives consent for Sponsor to obtain and deliver his or her name, address and other information to third parties, including Administrator, for the purpose of administering this Promotion and to comply with applicable laws, regulations and rules, including, without limitation, the storing of your personal information for purposes of complying with state record retention requirements. Any information entrant provides to Sponsor may be used to communicate with entrant in relation to this Promotion or on a Promotion winner’s list. Personal information collected from entrants are subject to the Sponsor’s Privacy Policy, which can be found at https://www.gnc.com/Privacy%20Statement/privacy-policy.html. Al tocar/cliquear el botón de la jugada de “GNC Instant Win Spin Game”, recibirá una (1) participación para el Sorteo del Gran Premio (una “Participación al Sorteo”) y una (1) jugada de Gane al Instante (“una Jugada Instantánea”). SELECCION Y NOTIFICACION DEL GANADOR DE GANE AL INSTANTE: Los Premios de Gane al Instante serán otorgados a lo largo del Periodo de Promoción, conforme al proceso arriba establecido. Antes del lanzamiento de esta Promoción, el Administrador generará 150 hora-fechas ganadoras aleatorias, cuales han de ser generadas por computadora, a razón de una por cada Premio de Gane al Instante disponible para ser ganado. En el momento en que un Participante someta su Participación para el Gane al Instante, si dicho participante resulta ser el primer Participante elegible en someter la Jugada Instantánea en o justo después de la hora-fecha ganadora (previamente designada de forma aleatoria por computadora), entonces dicho Participante recibirá una notificación en pantalla alertándole de que es un ganador potencial de un Premio del Gane al Instante. Los Participantes en jugada instantánea que no resulten ganadores, también recibirán notificación a tales efectos.
Los ganadores potenciales de un Gane al Instante deben continuar cumpliendo con todos los términos y condiciones de estas Reglas Oficiales; y el ganar un premio es contingente al cumplimiento de todos los requisitos establecidos en estas Reglas Oficiales. Todo reclamo de premio está sujeto a verificación, por el Administrador y/o Promotor, cuyas decisiones son finales y vinculantes. Aun cuando usted reciba una notificación en pantalla a los efectos de que es un ganador potencial de un Premio del Gane al Instante, usted no se convierte en ganador hasta que su elegibilidad y la Jugada Instantánea hayan sido verificadas. En la eventualidad de que un ganador potencial de un Premio del Gane al Instante sea descalificado por cualquier razón, o de que a la conclusión del Periodo de Promoción, permanezcan premios del Gane al Instante vacantes y disponibles para ser otorgados, el Promotor adjudicará tal (es) premio(s) a un ganador alterno mediante un acto de sorteo al azar entre las participaciones elegibles restantes (“Sorteo Alterno para vacantes del Gane al Instante’). Solo se realizará un (1) Sorteo Alterno para vacantes del Gane al Instante, luego de lo cual aquellos Premios de Gane al Instante que aun así permanezcan vacantes (si alguno) no serán otorgados.
Las Tarjetas de regalo GNC de $50 serán entregadas a los ganadores verificados, vía la dirección de correo electrónico del ganador conforme surge de su cuenta de membresía myGNC Rewards o myGNC PRO Access, dentro de los 14 días siguientes a la confirmación de la elegibilidad de dicho ganador.
Las Recompensas “Cash Back Reward de $20” serán aplicadas de forma automática a la cuenta de membresía myGNC Rewards o myGNC PRO Access del ganador verificado, dentro de los 14 días siguientes a la confirmación de la elegibilidad de dicho ganador.
SORTEO ALEATORIO Y NOTIFICACIÓN DEL GRAN PREMIO: En o aproximadamente el martes, 11 de abril de 2023, el Administrador seleccionará a un (1) ganador potencial para el Gran Premio en sorteo aleatorio de entre todas las participaciones elegibles al Sorteo del Gran Premio recibidas durante el Período de la Promoción. El Administrador notificará al ganador del Gran Premio por medio del correo electrónico y/o teléfono en o cerca del martes, 11 de abril de 2023, y se le requerirá que firme y devuelva dentro de cinco (5) días de la notificación vía email, un Afidávit sobre Elegibilidad y Descargo de Responsabilidad, un formulario IRS W-9 y donde sea permitido por ley, un Descargo para usos publicitarios (colectivamente, “Las Exoneraciones”). Las Exoneraciones requerirán del ganador del Gran premio que provea su número de seguro social para propósitos de informes contributivos, conforme exigido por ley. El no dar cumplimiento a esos requisitos arriba indicados podrá resultar en su descalificación y en la selección de un ganador alterno para que tome su lugar. El Gran Premio será entregado dentro de 45 días de concluirse la verificación del ganador.
CONDICIONES DEL PREMIO: En el caso de que una notificación de premio o el premio sea(n) devueltos como no entregable(s), o que el ganador resulte no ser elegible o no se encuentre en cumplimiento con estas Reglas Oficiales, dicho ganador será descalificado y en su lugar el premio será otorgado a un ganador alterno mediante un sorteo al azar independiente. En el caso de que el Promotor no reciba un número suficiente de participaciones para correlacionar con el número de premios disponibles para ser otorgados, el Promotor se reserva el derecho de no otorgar aquel o aquellos premio(s) que así lo excedan.
Los Premios de Gane al Instante no son redimibles por dinero en efectivo. Ninguno de los premios en esta Promoción podrá ser cedido, transferido y ninguno de éstos será sustituido, salvo a la exclusiva discreción del Promotor. El Promotor se reserva el derecho de sustituir un premio por uno de igual o superior valor a su discreción. Cualquier otro gasto incidental en conexión con el premio, cuyo gasto no haya sido expresamente incluido en estas Reglas Oficiales como parte del premio, será del cargo exclusivo del ganador.
Los ganadores son responsables de todo impuesto o contribución legal de índole federal, estatal, local o por contribución sobre ingresos asociados con ganar un premio. Se le requerirá al ganador del Gran Premio que provea su número de seguro social únicamente para propósitos de preparación de formularios sobre impuestos, conforme lo exige la ley.
Salvo donde esté prohibido por ley, la participación en esta Promoción así como la aceptación de cualquier premio, constituyen permisos para el uso de los siguientes: el nombre del ganador, mención del premio ganado, su ciudad de residencia, su imagen y semejanza, grabación en video tape, fotografía y expresiones respecto al ganador, para propósitos de anuncios, promoción y publicidad (incluyendo publicaciones en línea) en todo y cualquier medio conocido o por conocerse en el futuro, a perpetuidad, sin compensación, notificación o permiso adicional.
GENERAL: Al participar en esta Promoción, el Participante acepta estas Reglas Oficiales y acuerda quedar regido por las mismas así como por las decisiones del Promotor y del Administrador, y exonera de responsabilidad al Promotor, al Administrador, y a sus respectivas compañías filiales y a todas las demás empresas involucradas en esta Promoción, así como a los empleados, funcionarios, directores y agentes de cada uno de los/las anteriores (colectivamente, las "Entidades Exoneradas"), de toda y cualquier reclamación y responsabilidad en relación con la participación del Participante en esta Promoción, y su aceptación y uso / no uso/ uso indebido de cualquier premio(s) ofrecido(s) en esta Promoción. Los participantes de esta Promoción asumen todo el riesgo y la responsabilidad –y a tales efectos, exoneran y acuerdan mantener indemnes a las Entidades Exoneradas—con respecto a toda y cualquier lesión, pérdida y daño de cualquier tipo a persona (incluyendo lesiones personales y/o muerte) y propiedad, causadas o alegadamente causadas, en todo o en parte, directa o indirectamente, por participar en esta Promoción, o por la aceptación, posesión o uso/ no uso / uso indebido del premio y con respecto a cualquier reclamo sobre la base de derechos de publicidad, difamación, invasión a la privacidad o entrega de mercancía. El Promotor no es responsable por error(es) tipográfico(s) en ningún caso y tampoco por errores de otro tipo o naturaleza en la impresión de la oferta, en la administración de la Promoción o en el anuncio del premio(s).
Los materiales/datos de Participación que hayan sido manipulados o alterados, las participaciones en masa y las Participaciones generadas por un script, macro o el uso de dispositivos automatizados, son nulas. Las Entidades Exoneradas no son responsables por: (i) Participaciones perdidas, tardías, mal dirigidas o desviadas de curso, dañadas o ilegibles; o (ii) errores, omisiones, interrupción/es, supresión/es, defectos, retrasos en las operaciones o en la transmisión de, el robo o la destrucción o el acceso no-autorizado de materiales de participación; ni por el mal funcionamiento o desperfectos técnicos, de cualquier tipo y naturaleza, en las redes, en equipos telefónicos, electrónicos o informáticos, o del hardware o software, o por transmisión/es inexacta/s, que retrasen o impidan la recepción por el Promotor de la información de la Participación, o por problemas técnicos o congestión de tráfico en la Internet o en cualquier sitio web, o cualquier combinación de alguno o más de los anteriores; o (iii) de cualquier menoscabo o daño a la computadora del participante o a la de cualquier otra persona, relacionados con, o como resultado de, participar en la Promoción. Al participar en la Promoción, el participante: (i) acepta quedar regido por estas Reglas Oficiales, incluidos todos los requisitos de elegibilidad, y (ii) acepta quedar obligado por las decisiones del Promotor y del Administrador, las cuales acepta son finales y vinculantes en todos los aspectos relativos a esta Promoción. Su incumplimiento de estas Reglas Oficiales podrá dar lugar a su descalificación de la Promoción.
El Promotor se reserva el derecho de cancelar, suspender y/o modificar la Promoción, o cualquier porción de la misma, en el caso de que cualquier tipo de fraude, fallo técnico u otro factor más allá del control razonable por Promotor, menoscabe la integridad o el funcionamiento adecuado de la Promoción, conforme determinado exclusivamente por el Promotor. Si, por cualquier motivo, la Promoción no puede ejecutarse según planificado, el Promotor podrá descalificar de la Promoción a cualquier individuo o Participación que le resulte sospechoso(a) en esta Promoción y de cualquier otra promoción patrocinada por el Promotor y: (a) suspender la Promoción y modificar la Promoción para mitigar o curar el impedimento, y luego reanudar la Promoción de la manera que mejor se ajuste al espíritu de estas Reglas Oficiales; y/o (b) otorgar el premio(s) al azar entre las Participaciones elegibles no-sospechosas que se hayan recibido hasta el momento del impedimento.
LAS ENTIDADES EXONERADAS NO SON RESPONSABLES, SI ESTA PROMOCIÓN NO PUEDE SER ADMINISTRADA, LLEVADA A CABO O LOS PREMIOS NO PUEDEN SER OTORGADOS, POR RAZÓN DE CANCELACIONES, RETRASOS O INTERRUPCIONES QUE RESULTEN O DERIVEN DE ACTOS DE DIOS, GUERRA O TERRORISMO, DISTURBIOS CIVILES, PAROS O HUELGAS, ESCASEZ DE SUMINISTROS, DESASTRES NATURALES, EL CLIMA, EPIDEMIAS, o POR DAR CUMPLIMIENTO CON ALGUNA LEY U ORDEN DE ALGUNA AUTORIDAD GUBERNAMENTAL, O POR CUALQUIER OTRO ACTO EVENTO SIMILAR A LOS INDICADOS, U OTRO TIPO DE EVENTO O CIRCUNSTANCIA MÁS ALLÁ DEL CONTROL RAZONABLE DEL PROMOTOR. AL PARTICIPAR EN ESTA PROMOCION, EL PARTICIPANTE ACUERDA QUE LAS ENTIDADES EXONERADAS NO SON NI SERÁN RESPONSABLES POR NINGUNA LESIÓN, MENOSCABO, DAÑO O PÉRDIDA DE TIPO ALGUNO, INCLUIDOS LOS DAÑOS DIRECTOS, INDIRECTOS, INCIDENTALES, CONSECUENTES O PUNITIVOS, A PERSONAS (INCLUSIVE LA MUERTE), O A LA PROPIEDAD, QUE SURJA(N) DEL ACCESO A Y EL USO DE CUALQUIER WEBSITE ASOCIADO CON ESTA PROMOCION, O AL DESCARGAR Y / O IMPRIMIR ALGUN MATERIAL(ES) A PARTIR DE TAL(ES) SITIO(S) WEB, CONFORME APLIQUE. ADEMÁS, EL PROMOTOR NO ES NI SERÁ RESPONSABLE POR NINGUNA CANCELACIÓN, RETRASO, DESVIACION, DIVERGENCIA O CAMBIO EN LOS SERVICIO(S), ALOJAMIENTO(S) Y SUSTITUCION(ES), O POR ACTOS U OMISIONES DE TERCEROS FUERA DEL CONTROL RAZONABLE DEL PROMOTOR, INCLUYENDO COMPAÑÍAS AÉREAS, OTRAS COMPAÑÍAS DE TRANSPORTE; ALOJAMIENTOS, RESTAURANTES U OTROS PROVEEDORES DE SERVICIOS DE HOSPITALIDAD; PROVEEDORES DE ENTRETENIMIENTO, INSTALACIONES/ LOCACIONES O ARTISTAS, U OTROS PROVEEDORES EXTERNOS O TERCEROS QUE SUMINISTREN CUALQUIER SERVICIO O COMPONENTE DEL PREMIO (S) A LOS GANADORES O A SUS INVITADOS, O POR CUALQUIER LESIÓN RESULTANTE, INCLUYENDO DAÑOS MONETARIOS, COSTAS Y GASTOS, DAÑOS A LA PROPIEDAD, LESIONES PERSONALES O MUERTE QUE PUEDA(N) RESULTAR DE CUALQUIERA DE LAS ANTERIORES.
ADVERTENCIA LEGAL: CUALQUIER INTENTO POR UN INDIVIDUO (SEA O NO, UN PARTICIPANTE) DE DAÑAR, DESTRUIR, ADULTERAR O VANDALIZAR ESTE WEBSITE O DE INTERFERIR CON LA CONDUCCION O FUNCIONAMIENTO DE LA PROMOCIÓN, ES UNA VIOLACION DE LEYES CIVILES Y CRIMINALES Y EL PROMOTOR SE RESERVA EL DERECHO DE EXIGIR COMPENSACION EN DAÑOS Y PROCURAR DILIGENTEMENTE TODO OTRO REMEDIO(S) CONTRA DICHO INDIVIDUO, CON EL MAXIMO RIGOR PERMITIDO POR LEY.
LEY APLICABLE Y LIMITACION DE RESPONSABILIDAD: Todo asunto(s) y cuestión (es) acerca de la interpretación, validez, hermenéutica y exigibilidad de estas Reglas Oficiales o acerca de los derechos y obligaciones de los participantes, del Promotor o de las Entidades Exoneradas en conexión con la Promoción, se han de regir e interpretar de conformidad con las leyes internas del estado de Pensilvania, EE.UU., sin dar paso a ninguna disposición, ley o regla sobre selección de ley(es) o sobre conflictos de leyes, que pueda resultar o resulte en la aplicación de ninguna otra ley(es) que no sea la ley expresamente indicada en este párrafo.
AL ENTRAR / PARTICIPAR EN ESTA PROMOCION, EL PARTICIPANTE ACUERDA (HASTA DONDE LO PERMITA LA LEY APLICABLE): (A) QUE TODA Y CUALQUIER CONTROVERSIA, RECLAMACION Y CAUSA(S) DE ACCION QUE SURJA(N) DE O EN CONEXIÓN CON ESTA PROMOCION, O CON CUALQUIER OTORGAMIENTO DE PREMIO, SERÁ RESUELTA DE MANERA INDIVIDUAL, SIN RECURRIRSE A NINGUN TIPO DE PLEITO O ACCIÓN DE CLASE O ACCION COLECTIVA; (B) QUE TODA Y CUALQUIER RECLAMACION, SENTENCIA/FALLO Y REMEDIO QUEDA LIMITADA(O) AL GASTO DE BOLSILLO REALMENTE INCURRIDO (SI ALGUNO) PARA CON TERCEROS, SIN EXCEDER EN NINGUN CASO, LA SUMA DE DIEZ DOLARES ($10.00), Y EN NINGUN CASO, SE LE CONCEDERÁ PAGO NI REEMBOLSO POR CONCEPTO DE HONORARIOS DE ABOGADOS; (C) EN NINGUNA CIRCUNSTANCIA SE LE PERMITIRÁ A UN PARTICIPANTE OBTENER NINGUN REMEDIO, SENTENCIA O FALLO POR-- Y A TALES EFECTOS, EL PARTICIPANTE CON PLENO CONOCIMIENTO Y EXPRESA VOLUNTAD, RENUNCIA A SOLICITAR U OBTENER: DAÑOS PUNITIVOS, INCIDENTALES, CONSECUENTES O ESPECIALES, PERDIDA DE LUCRO O DE GANANCIAS Y/O CUALQUIER OTRO TIPO DE DAÑOS Y/O PERJUICIO, QUE NO SEA EL RECOBRO DE UN GASTO DE BOLSILLO REALMENTE INCURRIDO PARA CON TERCEROS, SIN EXCEDER LA SUMA DE DIEZ DOLARES ($10.00), Y RENUNCIA A SOLICITAR U OBTENER CUALQUIER DERECHO A QUE SUS DAÑOS PUEDEAN SER MULTIPLICADOS O DE OTRA MANERA AUMENTADOS; Y (D) QUE TODO REMEDIO AL PARTICIPANTE QUEDA LIMITADO A UNA RECLAMACION POR DAÑOS MONETARIOS (SI ALGUNO) Y QUE EL PARTICIPANTE IRREVOCABLEMENTE RENUNCIA A TODO DERECHO A ENTABLAR SOLICITUD DE REMEDIOS INTERDICTALES O REMEDIOS EN EQUIDAD. ALGUNAS JURISDICCIONES NO PERMITEN LA LIMITACION O EXCLUSION DE RESPONSABILIDAD, POR LO QUE LO ANTES INDICADO PUEDE NO SERLE DE APLICACIÓN.
CONTROVERSIAS: Las partes en este contrato acuerdan resolver toda controversia exclusivamente a través del proceso de arbitraje y de manera final y vinculante; disponiéndose sin embargo, que las Entidades Exoneradas tendrán derecho a solicitar interdictos así como remedios en equidad en los tribunales estatales y federales del Condado de Allegheny, Pensilvania y en cualquier otro tribunal con jurisdicción sobre las partes. En el proceso de arbitraje, no hay jueces ni jurados, y el derecho de revisión es limitado. La determinación del árbitro y su fallo son finales y vinculantes, con contadas excepciones; y la sentencia en cuanto al fallo puede ser emitida por cualquier tribunal con jurisdicción. Las partes acuerdan que, excepto según se indica arriba, toda reclamación, demanda, acción o procedimiento que surja(n) de o se relacione(n) con esta Promoción será(n) exclusivamente resuelto(s) por medio de un proceso de arbitraje vinculante, ante un solo árbitro, utilizándose las Reglas simplificadas del Procedimiento de arbitraje (conocidas en inglés como, “The Streamlined Arbitration Rules Procedures”) de JAMS, Inc. (“JAMS”) o cualquier sucesor de JAMS. En el caso de que JAMS no quiera o no pueda señalar una fecha de audiencia dentro de catorce (14) días de la radicación de la “Demanda de Arbitraje”, entonces cualquiera de las partes puede optar por que el proceso de arbitraje se administre por la Asociación Americana de Arbitraje (“AAA”) o por cualquier servicio de administración de arbitraje que sea mutuamente acordado. De requerirse una audiencia en persona, la misma tendrá lugar en el Condado de Allegheny, Pensilvania. La ley federal o estatal que aplica a estas Reglas Oficiales también ha de aplicar al y durante el proceso de arbitraje. Las controversias serán arbitradas únicamente de forma individual; y no serán consolidadas con ningún otro proceso que involucre ninguna reclamación o controversia de otra parte, incluyendo ninguna acción o pleito de clase/ acción colectiva; disponiéndose sin embargo, que si por cualquier razón algún tribunal o árbitro sostuviese que esta restricción es irrazonable o inexigible, entonces el acuerdo de arbitrar no aplicará en tal instancia, y la controversia en cuestión deberá ser presentada ante un tribunal con jurisdicción competente dentro del Condado de Allegheny, Pensilvania. El Promotor acuerda pagar la tarifa administrativa y del árbitro para la conducción del proceso de arbitraje (excluyendo sin embargo, todo y cualesquiera costos de viaje u otros costos del participante relacionados a su asistencia a la audiencia de arbitraje). A pesar de esta disposición, cualquiera de las partes puede presentar reclamos calificados en un tribunal de reclamos menores (conocidas en inglés como “small claims court”).
PRIVACIDAD: Como condición para participar en la Promoción, cada participante da su consentimiento para que el Promotor obtenga y entregue su nombre, dirección y otra información a terceros, incluido el Administrador, con el fin de administrar esta Promoción y cumplir con las leyes, regulaciones y reglas aplicables, incluidos, entre otros, el almacenamiento de su información personal para cumplir con los requisitos estatales de retención de registros. Cualquier información que el participante proporcione al Promotor podrá usarse para comunicación con el participante en relación con esta Promoción o para cualquier lista de ganadores de la Promoción. PROMOTION ENTRY PERIOD: The Promotion begins at 12:00:01 AM Eastern Time (“ET”) on Thursday, March 16, 2023 and ends at 11:59:59 PM ET on Thursday, April 6, 2023 (the “Promotion Period”).
ELIGIBILITY: The Promotion is open to myGNC Rewards members and myGNC PRO Access members who are a) legal residents of the 50 United States, including the District of Columbia (D.C.) and Puerto Rico (collectively for this Promotion, the “Territory”); and b) age 18 or older and the age of majority in their state/territory of residence (19 and older in Alabama and Nebraska; 21 and older in Mississippi and Puerto Rico) at the time of entry. HOW TO ENTER: You must have the GNC LIVE WELL Mobile App downloaded to your mobile device and be logged in with your myGNC Rewards or myGNC PRO Access membership account to participate. The Promotion has two components: An Instant Win Game (the “Instant Win Game”), and a Random Draw Grand Prize Sweepstakes (the “Grand Prize Sweepstakes”). To enter both the Instant Win Game and the Grand Prize Sweepstakes: • Open the GNC LIVE WELL app on your mobile device and login with your myGNC Rewards or myGNC PRO Access membership account; • Navigate to and tap/click the area advertising the Promotion to visit the Promotion Site (the “Promotion Site”); • Upon visiting the Promotion Site, follow the prompts to play the GNC Instant Win Spin Game. By clicking/tapping the button to play the GNC Instant Win Spin Game, you will receive one (1) entry into the Grand Prize Sweepstakes (the “Sweepstakes Entry”) and one (1) Instant Win Game play (the “Game Entry”). Each day thereafter, for the remainder of the Promotion Period, you will be able to return to the Promotion Site to play the GNC Instant Win Spin Game and receive one (1) additional Sweepstakes Entry and one (1) Game Entry. All Entries must be received between 12:00:01 AM ET on Thursday, March 16, 2023 and 11:59:59 PM ET on Thursday, April 6, 2023. All Entries become the property of the Sponsor and will not be acknowledged or returned. The Promotion Site’s database clock will be the official timekeeper for the Promotion. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any Entry, the authorized account holder of the myGNC Rewards or myGNC PRO Access account used to participate will be deemed to be the Entrant. Each potential winner may be required to show proof of being the authorized account holder.
PRIZES/APPROXIMATE RETAIL VALUE (“ARV”)/ODDS: The total ARV of all prizes available to be won in connection with this Promotion: $112,000.
Grand Prize: There is one (1) Grand Prize available to be won. One (1) Grand Prize winner will receive $100,000, to be awarded in the form of a check. The ARV of the Grand Prize: $100,000. The odds of winning the Grand Prize will depend upon the total number of eligible Sweepstakes Entries received during the Promotion Period.
Instant Win Prizes: There are 250 Instant Win Prizes (“Instant Win Prizes”) available to be won as depicted in the Instant Win Prize Chart below. Total ARV of all Instant Win Prizes available to be won: $12,000. Limit: One (1) Instant Win Prize per person. Odds of winning an Instant Win Prize are dependent on the random winning time selected for each Instant Win Prize available to be won, the number of participants in the Promotion, and the time and order any Entrant’s Game Entry is submitted and recorded. INSTANT WIN PRIZE WINNER SELECTION & NOTIFICATION: Instant Win Prizes will be awarded throughout the Promotion Period, pursuant to the process set forth herein. 150 random, computer-generated winning dates and times, one for each Instant Win Prize available to be won, will be generated by the Administrator prior to launch. At the time an Entrant submits a Game Entry, if such Entrant is the first eligible Entrant to submit a Game Entry at or after a computer-generated, randomly selected winning time, that Entrant will receive an on-screen notification alerting them that they are a potential winner of an Instant Win Prize. Non-winning entrants will also be notified on screen.
Potential Instant Win Prize winners must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements in these Official Rules. All winning claims are subject to verification by the Administrator and/or Sponsor, whose decisions are binding. Even if the Instant Win Game shows that you are a winner, you are not a winner until your eligibility and the potential winning Game Entry have been verified. GRAND PRIZE RANDOM DRAWING & NOTIFICATION: On or about Tuesday, April 11, 2023, the Administrator will select one (1) potential Grand Prize winner in a random drawing from among all eligible Grand Prize Sweepstakes entries received during the Promotion Period. The Grand Prize winner will be notified by the Administrator via email and/or phone on or about Tuesday, April 11, 2023 and will be required to sign and return, within five (5) days of email notification, an Affidavit of Eligibility & Liability Waiver, an IRS W-9 Form and where allowable, a Publicity Release (collectively, "the Releases"). These Releases will require the Grand Prize winner to furnish his/her Social Security Number for the sole purpose of tax reporting, as required by law. Noncompliance will result in disqualification and an alternate winner may be selected. The Grand Prize will be awarded within 45 days after the winner is verified.
PRIZE CONDITIONS: If a prize notification or prize is returned as undeliverable, or if winner is found to be ineligible or not in compliance with these Official Rules that winner will be disqualified, and the prize may be awarded to an alternate winner in a separate random drawing. If Sponsor fails to receive a sufficient number of entries to correspond to the number of prizes available to be awarded, Sponsor reserves the right to not award such prize(s).
Instant Win Prizes are not redeemable for cash. All prizes are not assignable, transferable and may not be substituted except at Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize of equal or greater value at its discretion. Any other incidental expenses on prize not specified herein are the winner’s sole responsibility.
Winners are responsible for all federal, state, local and income taxes associated with winning prize. Grand Prize winner will be required to furnish his/her Social Security Number for the sole purpose of preparation of tax forms as required by law.
Except where prohibited by law, entry and acceptance of prize constitute permission to use winner's name, prize won, hometown, likeness, video tape, photographs, and statements for purposes of advertising, promotion and publicity (including online posting) in any and all media now or hereafter known throughout the world in perpetuity, without additional compensation, notification or permission.
GENERAL: Participating entrants agree to these Official Rules and the decisions of the Sponsor and the Administrator, and release the Sponsor, the Administrator, and their affiliated companies, and all other businesses involved in this Promotion, as well as the employees, officers, directors and agents of each (the “Released Parties”), from all claims and liability relating to their participation in the Promotion, and the acceptance and use/misuse of the prizes offered. Entry materials/data that have been tampered with or altered, or mass entries or entries generated by a script, macro or use of automated devices are void. The Released Parties are not responsible for: (i) lost, late, misdirected, damaged or illegible entries; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (iii) any injury or damage to entrant's or any other person's computer or mobile device related to or resulting from participating in the Promotion. By participating in the Promotion, you (i) agree to be bound by these Official Rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of Sponsor and the Administrator, which are final and binding in all matters relating to the Promotion. Failure to comply with these Official Rules may result in disqualification from the Promotion.
Sponsor reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, if any fraud, technical failures or any factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Promotion, as determined by Sponsor. If, for any reason, the Promotion cannot be run as planned, Sponsor may disqualify any suspect entries or individuals from the Promotion and any promotion it sponsors and (a) suspend the Promotion and modify the Promotion to address the impairment, then resume the Promotion in a manner that best conforms to the spirit of these Official Rules; and/or (b) award the prizes at random from among the eligible, non-suspect entries received up to the time of the impairment.

DISPUTES: The parties hereto each agree to finally settle all disputes only through arbitration; provided, however, the Released Parties shall be entitled to seek injunctive or equitable relief in the state and federal courts in Allegheny County, Pennsylvania and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Promotion shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in Allegheny County, Pennsylvania. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in Allegheny County, Pennsylvania. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court.
PRIVACY: As a condition of entering the Promotion, each entrant gives consent for Sponsor to obtain and deliver his or her name, address and other information to third parties, including Administrator, for the purpose of administering this Promotion and to comply with applicable laws, regulations and rules, including, without limitation, the storing of your personal information for purposes of complying with state record retention requirements. Any information entrant provides to Sponsor may be used to communicate with entrant in relation to this Promotion or on a Promotion winner’s list. Los empleados del Promotor, del Administrador y aquellos de sus respectivas subsidiarias, filiales, agencias de publicidad y promociones, y los parientes inmediatos (es decir, el cónyuge, padres, hijos y hermanos, y cónyuges de éstos) de los arriba exceptuados, así como aquellos que residan en los hogares de éstos, no son elegibles para participar de esta promoción. La Promoción está sujeta a todas las leyes y reglamentos de índole federal, estatal y local, aplicables.
COMO PARTICIPAR: Debe tener la aplicación móvil “GNC LIVE WELL” descargada a su dispositivo móvil y haber iniciado su sesión (“hacer log-in”) con su cuenta de membresía myGNC Rewards o myGNC PRO Access. La Promoción tiene dos componentes: un Juego de Ganador al Instante (el "Juego de Gane al Instante ") y un Sorteo al azar para otorgar un Gran Premio (el "Sorteo del Gran Premio"). Las Tarjetas de regalo GNC y las Recompensas “Cash Back Rewards”, no son redimibles por dinero en efectivo y no serán reemplazadas si se pierden, extravían o son robadas. El uso de las Tarjetas de regalo GNC y Recompensas “Cash Back Rewards” están sujetas a los términos y condiciones completos de la compañía emisora, incluyendo fechas de expiración.
* Las Recompensas “Cash Back Rewards de $20” serán otorgadas en la forma de 600 puntos de recompensa que serán depositados en la cuenta myGNC Rewards o myGNC PRO Access del ganador.
SELECCION Y NOTIFICACION DEL GANADOR DE GANE AL INSTANTE: Los Premios de Gane al Instante serán otorgados a lo largo del Periodo de Promoción, conforme al proceso arriba establecido. Antes del lanzamiento de esta Promoción, el Administrador generará 150 hora-fechas ganadoras aleatorias, cuales han de ser generadas por computadora, a razón de una por cada Premio de Gane al Instante disponible para ser ganado. En el momento en que un Participante someta su Participación para el Gane al Instante, si dicho participante resulta ser el primer Participante elegible en someter la Jugada Instantánea en o justo después de la hora-fecha ganadora (previamente designada de forma aleatoria por computadora), entonces dicho Participante recibirá una notificación en pantalla alertándole de que es un ganador potencial de un Premio del Gane al Instante. Los Participantes en jugada instantánea que no resulten ganadores, también recibirán notificación a tales efectos.
Los ganadores potenciales de un Gane al Instante deben continuar cumpliendo con todos los términos y condiciones de estas Reglas Oficiales; y el ganar un premio es contingente al cumplimiento de todos los requisitos establecidos en estas Reglas Oficiales. Todo reclamo de premio está sujeto a verificación, por el Administrador y/o Promotor, cuyas decisiones son finales y vinculantes. Aun cuando usted reciba una notificación en pantalla a los efectos de que es un ganador potencial de un Premio del Gane al Instante, usted no se convierte en ganador hasta que su elegibilidad y la Jugada Instantánea hayan sido verificadas. En la eventualidad de que un ganador potencial de un Premio del Gane al Instante sea descalificado por cualquier razón, o de que a la conclusión del Periodo de Promoción, permanezcan premios del Gane al Instante vacantes y disponibles para ser otorgados, el Promotor adjudicará tal (es) premio(s) a un ganador alterno mediante un acto de sorteo al azar entre las participaciones elegibles restantes (“Sorteo Alterno para vacantes del Gane al Instante’). Solo se realizará un (1) Sorteo Alterno para vacantes del Gane al Instante, luego de lo cual aquellos Premios de Gane al Instante que aun así permanezcan vacantes (si alguno) no serán otorgados.
Las Tarjetas de regalo GNC de $50 serán entregadas a los ganadores verificados, vía la dirección de correo electrónico del ganador conforme surge de su cuenta de membresía myGNC Rewards o myGNC PRO Access, dentro de los 14 días siguientes a la confirmación de la elegibilidad de dicho ganador.
Las Recompensas “Cash Back Reward de $20” serán aplicadas de forma automática a la cuenta de membresía myGNC Rewards o myGNC PRO Access del ganador verificado, dentro de los 14 días siguientes a la confirmación de la elegibilidad de dicho ganador.
SORTEO ALEATORIO Y NOTIFICACIÓN DEL GRAN PREMIO: En o aproximadamente el martes, 11 de abril de 2023, el Administrador seleccionará a un (1) ganador potencial para el Gran Premio en sorteo aleatorio de entre todas las participaciones elegibles al Sorteo del Gran Premio recibidas durante el Período de la Promoción. El Administrador notificará al ganador del Gran Premio por medio del correo electrónico y/o teléfono en o cerca del martes, 11 de abril de 2023, y se le requerirá que firme y devuelva dentro de cinco (5) días de la notificación vía email, un Afidávit sobre Elegibilidad y Descargo de Responsabilidad, un formulario IRS W-9 y donde sea permitido por ley, un Descargo para usos publicitarios (colectivamente, “Las Exoneraciones”). Las Exoneraciones requerirán del ganador del Gran premio que provea su número de seguro social para propósitos de informes contributivos, conforme exigido por ley. El no dar cumplimiento a esos requisitos arriba indicados podrá resultar en su descalificación y en la selección de un ganador alterno para que tome su lugar. El Gran Premio será entregado dentro de 45 días de concluirse la verificación del ganador.
CONDICIONES DEL PREMIO: En el caso de que una notificación de premio o el premio sea(n) devueltos como no entregable(s), o que el ganador resulte no ser elegible o no se encuentre en cumplimiento con estas Reglas Oficiales, dicho ganador será descalificado y en su lugar el premio será otorgado a un ganador alterno mediante un sorteo al azar independiente. En el caso de que el Promotor no reciba un número suficiente de participaciones para correlacionar con el número de premios disponibles para ser otorgados, el Promotor se reserva el derecho de no otorgar aquel o aquellos premio(s) que así lo excedan.
Los Premios de Gane al Instante no son redimibles por dinero en efectivo. Ninguno de los premios en esta Promoción podrá ser cedido, transferido y ninguno de éstos será sustituido, salvo a la exclusiva discreción del Promotor. El Promotor se reserva el derecho de sustituir un premio por uno de igual o superior valor a su discreción. Cualquier otro gasto incidental en conexión con el premio, cuyo gasto no haya sido expresamente incluido en estas Reglas Oficiales como parte del premio, será del cargo exclusivo del ganador.
Los ganadores son responsables de todo impuesto o contribución legal de índole federal, estatal, local o por contribución sobre ingresos asociados con ganar un premio. Se le requerirá al ganador del Gran Premio que provea su número de seguro social únicamente para propósitos de preparación de formularios sobre impuestos, conforme lo exige la ley.
Salvo donde esté prohibido por ley, la participación en esta Promoción así como la aceptación de cualquier premio, constituyen permisos para el uso de los siguientes: el nombre del ganador, mención del premio ganado, su ciudad de residencia, su imagen y semejanza, grabación en video tape, fotografía y expresiones respecto al ganador, para propósitos de anuncios, promoción y publicidad (incluyendo publicaciones en línea) en todo y cualquier medio conocido o por conocerse en el futuro, a perpetuidad, sin compensación, notificación o permiso adicional.
GENERAL: Al participar en esta Promoción, el Participante acepta estas Reglas Oficiales y acuerda quedar regido por las mismas así como por las decisiones del Promotor y del Administrador, y exonera de responsabilidad al Promotor, al Administrador, y a sus respectivas compañías filiales y a todas las demás empresas involucradas en esta Promoción, así como a los empleados, funcionarios, directores y agentes de cada uno de los/las anteriores (colectivamente, las "Entidades Exoneradas"), de toda y cualquier reclamación y responsabilidad en relación con la participación del Participante en esta Promoción, y su aceptación y uso / no uso/ uso indebido de cualquier premio(s) ofrecido(s) en esta Promoción. Los participantes de esta Promoción asumen todo el riesgo y la responsabilidad –y a tales efectos, exoneran y acuerdan mantener indemnes a las Entidades Exoneradas—con respecto a toda y cualquier lesión, pérdida y daño de cualquier tipo a persona (incluyendo lesiones personales y/o muerte) y propiedad, causadas o alegadamente causadas, en todo o en parte, directa o indirectamente, por participar en esta Promoción, o por la aceptación, posesión o uso/ no uso / uso indebido del premio y con respecto a cualquier reclamo sobre la base de derechos de publicidad, difamación, invasión a la privacidad o entrega de mercancía. El Promotor no es responsable por error(es) tipográfico(s) en ningún caso y tampoco por errores de otro tipo o naturaleza en la impresión de la oferta, en la administración de la Promoción o en el anuncio del premio(s).
Los materiales/datos de Participación que hayan sido manipulados o alterados, las participaciones en masa y las Participaciones generadas por un script, macro o el uso de dispositivos automatizados, son nulas. Las Entidades Exoneradas no son responsables por: (i) Participaciones perdidas, tardías, mal dirigidas o desviadas de curso, dañadas o ilegibles; o (ii) errores, omisiones, interrupción/es, supresión/es, defectos, retrasos en las operaciones o en la transmisión de, el robo o la destrucción o el acceso no-autorizado de materiales de participación; ni por el mal funcionamiento o desperfectos técnicos, de cualquier tipo y naturaleza, en las redes, en equipos telefónicos, electrónicos o informáticos, o del hardware o software, o por transmisión/es inexacta/s, que retrasen o impidan la recepción por el Promotor de la información de la Participación, o por problemas técnicos o congestión de tráfico en la Internet o en cualquier sitio web, o cualquier combinación de alguno o más de los anteriores; o (iii) de cualquier menoscabo o daño a la computadora del participante o a la de cualquier otra persona, relacionados con, o como resultado de, participar en la Promoción. Al participar en la Promoción, el participante: (i) acepta quedar regido por estas Reglas Oficiales, incluidos todos los requisitos de elegibilidad, y (ii) acepta quedar obligado por las decisiones del Promotor y del Administrador, las cuales acepta son finales y vinculantes en todos los aspectos relativos a esta Promoción. Su incumplimiento de estas Reglas Oficiales podrá dar lugar a su descalificación de la Promoción.
El Promotor se reserva el derecho de cancelar, suspender y/o modificar la Promoción, o cualquier porción de la misma, en el caso de que cualquier tipo de fraude, fallo técnico u otro factor más allá del control razonable por Promotor, menoscabe la integridad o el funcionamiento adecuado de la Promoción, conforme determinado exclusivamente por el Promotor. Si, por cualquier motivo, la Promoción no puede ejecutarse según planificado, el Promotor podrá descalificar de la Promoción a cualquier individuo o Participación que le resulte sospechoso(a) en esta Promoción y de cualquier otra promoción patrocinada por el Promotor y: (a) suspender la Promoción y modificar la Promoción para mitigar o curar el impedimento, y luego reanudar la Promoción de la manera que mejor se ajuste al espíritu de estas Reglas Oficiales; y/o (b) otorgar el premio(s) al azar entre las Participaciones elegibles no-sospechosas que se hayan recibido hasta el momento del impedimento.
LAS ENTIDADES EXONERADAS NO SON RESPONSABLES, SI ESTA PROMOCIÓN NO PUEDE SER ADMINISTRADA, LLEVADA A CABO O LOS PREMIOS NO PUEDEN SER OTORGADOS, POR RAZÓN DE CANCELACIONES, RETRASOS O INTERRUPCIONES QUE RESULTEN O DERIVEN DE ACTOS DE DIOS, GUERRA O TERRORISMO, DISTURBIOS CIVILES, PAROS O HUELGAS, ESCASEZ DE SUMINISTROS, DESASTRES NATURALES, EL CLIMA, EPIDEMIAS, o POR DAR CUMPLIMIENTO CON ALGUNA LEY U ORDEN DE ALGUNA AUTORIDAD GUBERNAMENTAL, O POR CUALQUIER OTRO ACTO EVENTO SIMILAR A LOS INDICADOS, U OTRO TIPO DE EVENTO O CIRCUNSTANCIA MÁS ALLÁ DEL CONTROL RAZONABLE DEL PROMOTOR. AL PARTICIPAR EN ESTA PROMOCION, EL PARTICIPANTE ACUERDA QUE LAS ENTIDADES EXONERADAS NO SON NI SERÁN RESPONSABLES POR NINGUNA LESIÓN, MENOSCABO, DAÑO O PÉRDIDA DE TIPO ALGUNO, INCLUIDOS LOS DAÑOS DIRECTOS, INDIRECTOS, INCIDENTALES, CONSECUENTES O PUNITIVOS, A PERSONAS (INCLUSIVE LA MUERTE), O A LA PROPIEDAD, QUE SURJA(N) DEL ACCESO A Y EL USO DE CUALQUIER WEBSITE ASOCIADO CON ESTA PROMOCION, O AL DESCARGAR Y / O IMPRIMIR ALGUN MATERIAL(ES) A PARTIR DE TAL(ES) SITIO(S) WEB, CONFORME APLIQUE. ADEMÁS, EL PROMOTOR NO ES NI SERÁ RESPONSABLE POR NINGUNA CANCELACIÓN, RETRASO, DESVIACION, DIVERGENCIA O CAMBIO EN LOS SERVICIO(S), ALOJAMIENTO(S) Y SUSTITUCION(ES), O POR ACTOS U OMISIONES DE TERCEROS FUERA DEL CONTROL RAZONABLE DEL PROMOTOR, INCLUYENDO COMPAÑÍAS AÉREAS, OTRAS COMPAÑÍAS DE TRANSPORTE; ALOJAMIENTOS, RESTAURANTES U OTROS PROVEEDORES DE SERVICIOS DE HOSPITALIDAD; PROVEEDORES DE ENTRETENIMIENTO, INSTALACIONES/ LOCACIONES O ARTISTAS, U OTROS PROVEEDORES EXTERNOS O TERCEROS QUE SUMINISTREN CUALQUIER SERVICIO O COMPONENTE DEL PREMIO (S) A LOS GANADORES O A SUS INVITADOS, O POR CUALQUIER LESIÓN RESULTANTE, INCLUYENDO DAÑOS MONETARIOS, COSTAS Y GASTOS, DAÑOS A LA PROPIEDAD, LESIONES PERSONALES O MUERTE QUE PUEDA(N) RESULTAR DE CUALQUIERA DE LAS ANTERIORES.
ADVERTENCIA LEGAL: CUALQUIER INTENTO POR UN INDIVIDUO (SEA O NO, UN PARTICIPANTE) DE DAÑAR, DESTRUIR, ADULTERAR O VANDALIZAR ESTE WEBSITE O DE INTERFERIR CON LA CONDUCCION O FUNCIONAMIENTO DE LA PROMOCIÓN, ES UNA VIOLACION DE LEYES CIVILES Y CRIMINALES Y EL PROMOTOR SE RESERVA EL DERECHO DE EXIGIR COMPENSACION EN DAÑOS Y PROCURAR DILIGENTEMENTE TODO OTRO REMEDIO(S) CONTRA DICHO INDIVIDUO, CON EL MAXIMO RIGOR PERMITIDO POR LEY.
LEY APLICABLE Y LIMITACION DE RESPONSABILIDAD: Todo asunto(s) y cuestión (es) acerca de la interpretación, validez, hermenéutica y exigibilidad de estas Reglas Oficiales o acerca de los derechos y obligaciones de los participantes, del Promotor o de las Entidades Exoneradas en conexión con la Promoción, se han de regir e interpretar de conformidad con las leyes internas del estado de Pensilvania, EE.UU., sin dar paso a ninguna disposición, ley o regla sobre selección de ley(es) o sobre conflictos de leyes, que pueda resultar o resulte en la aplicación de ninguna otra ley(es) que no sea la ley expresamente indicada en este párrafo.
AL ENTRAR / PARTICIPAR EN ESTA PROMOCION, EL PARTICIPANTE ACUERDA (HASTA DONDE LO PERMITA LA LEY APLICABLE): (A) QUE TODA Y CUALQUIER CONTROVERSIA, RECLAMACION Y CAUSA(S) DE ACCION QUE SURJA(N) DE O EN CONEXIÓN CON ESTA PROMOCION, O CON CUALQUIER OTORGAMIENTO DE PREMIO, SERÁ RESUELTA DE MANERA INDIVIDUAL, SIN RECURRIRSE A NINGUN TIPO DE PLEITO O ACCIÓN DE CLASE O ACCION COLECTIVA; (B) QUE TODA Y CUALQUIER RECLAMACION, SENTENCIA/FALLO Y REMEDIO QUEDA LIMITADA(O) AL GASTO DE BOLSILLO REALMENTE INCURRIDO (SI ALGUNO) PARA CON TERCEROS, SIN EXCEDER EN NINGUN CASO, LA SUMA DE DIEZ DOLARES ($10.00), Y EN NINGUN CASO, SE LE CONCEDERÁ PAGO NI REEMBOLSO POR CONCEPTO DE HONORARIOS DE ABOGADOS; (C) EN NINGUNA CIRCUNSTANCIA SE LE PERMITIRÁ A UN PARTICIPANTE OBTENER NINGUN REMEDIO, SENTENCIA O FALLO POR-- Y A TALES EFECTOS, EL PARTICIPANTE CON PLENO CONOCIMIENTO Y EXPRESA VOLUNTAD, RENUNCIA A SOLICITAR U OBTENER: DAÑOS PUNITIVOS, INCIDENTALES, CONSECUENTES O ESPECIALES, PERDIDA DE LUCRO O DE GANANCIAS Y/O CUALQUIER OTRO TIPO DE DAÑOS Y/O PERJUICIO, QUE NO SEA EL RECOBRO DE UN GASTO DE BOLSILLO REALMENTE INCURRIDO PARA CON TERCEROS, SIN EXCEDER LA SUMA DE DIEZ DOLARES ($10.00), Y RENUNCIA A SOLICITAR U OBTENER CUALQUIER DERECHO A QUE SUS DAÑOS PUEDEAN SER MULTIPLICADOS O DE OTRA MANERA AUMENTADOS; Y (D) QUE TODO REMEDIO AL PARTICIPANTE QUEDA LIMITADO A UNA RECLAMACION POR DAÑOS MONETARIOS (SI ALGUNO) Y QUE EL PARTICIPANTE IRREVOCABLEMENTE RENUNCIA A TODO DERECHO A ENTABLAR SOLICITUD DE REMEDIOS INTERDICTALES O REMEDIOS EN EQUIDAD. ALGUNAS JURISDICCIONES NO PERMITEN LA LIMITACION O EXCLUSION DE RESPONSABILIDAD, POR LO QUE LO ANTES INDICADO PUEDE NO SERLE DE APLICACIÓN.
CONTROVERSIAS: Las partes en este contrato acuerdan resolver toda controversia exclusivamente a través del proceso de arbitraje y de manera final y vinculante; disponiéndose sin embargo, que las Entidades Exoneradas tendrán derecho a solicitar interdictos así como remedios en equidad en los tribunales estatales y federales del Condado de Allegheny, Pensilvania y en cualquier otro tribunal con jurisdicción sobre las partes. En el proceso de arbitraje, no hay jueces ni jurados, y el derecho de revisión es limitado. La determinación del árbitro y su fallo son finales y vinculantes, con contadas excepciones; y la sentencia en cuanto al fallo puede ser emitida por cualquier tribunal con jurisdicción. Las partes acuerdan que, excepto según se indica arriba, toda reclamación, demanda, acción o procedimiento que surja(n) de o se relacione(n) con esta Promoción será(n) exclusivamente resuelto(s) por medio de un proceso de arbitraje vinculante, ante un solo árbitro, utilizándose las Reglas simplificadas del Procedimiento de arbitraje (conocidas en inglés como, “The Streamlined Arbitration Rules Procedures”) de JAMS, Inc. (“JAMS”) o cualquier sucesor de JAMS. En el caso de que JAMS no quiera o no pueda señalar una fecha de audiencia dentro de catorce (14) días de la radicación de la “Demanda de Arbitraje”, entonces cualquiera de las partes puede optar por que el proceso de arbitraje se administre por la Asociación Americana de Arbitraje (“AAA”) o por cualquier servicio de administración de arbitraje que sea mutuamente acordado. De requerirse una audiencia en persona, la misma tendrá lugar en el Condado de Allegheny, Pensilvania. La ley federal o estatal que aplica a estas Reglas Oficiales también ha de aplicar al y durante el proceso de arbitraje. Las controversias serán arbitradas únicamente de forma individual; y no serán consolidadas con ningún otro proceso que involucre ninguna reclamación o controversia de otra parte, incluyendo ninguna acción o pleito de clase/ acción colectiva; disponiéndose sin embargo, que si por cualquier razón algún tribunal o árbitro sostuviese que esta restricción es irrazonable o inexigible, entonces el acuerdo de arbitrar no aplicará en tal instancia, y la controversia en cuestión deberá ser presentada ante un tribunal con jurisdicción competente dentro del Condado de Allegheny, Pensilvania. El Promotor acuerda pagar la tarifa administrativa y del árbitro para la conducción del proceso de arbitraje (excluyendo sin embargo, todo y cualesquiera costos de viaje u otros costos del participante relacionados a su asistencia a la audiencia de arbitraje). A pesar de esta disposición, cualquiera de las partes puede presentar reclamos calificados en un tribunal de reclamos menores (conocidas en inglés como “small claims court”).
PRIVACIDAD: Como condición para participar en la Promoción, cada participante da su consentimiento para que el Promotor obtenga y entregue su nombre, dirección y otra información a terceros, incluido el Administrador, con el fin de administrar esta Promoción y cumplir con las leyes, regulaciones y reglas aplicables, incluidos, entre otros, el almacenamiento de su información personal para cumplir con los requisitos estatales de retención de registros. Cualquier información que el participante proporcione al Promotor podrá usarse para comunicación con el participante en relación con esta Promoción o para cualquier lista de ganadores de la Promoción.
